BRITISH SOCIETY FOR MEDICAL MYCOLOGY

CONSTITUTION

GENERAL

1. The Society shall be called the British Society for Medical Mycology.

2. The purpose of the Society is to advance education and promote research in all branches of medical and veterinary mycology and to disseminate the results of such research for the public benefit.

 

OFFICER BEARERS ANDCOMMITTEE

3. The Officers of the Society shall be a President, General Secretary, Meetings Secretary and Treasurer.

4. There shall be an Executive Committee of the Society consisting of the Officers, (President, General Secretary, Meetings Secretary and Treasurer), and three other elected members and the local organisers of the next two years' annual meetings.

5. The Executive Committee shall prepare the agenda for meetings of the Society and, between meetings, shall act on behalf of the Society; it shall report any such actions to the next meeting of the Society.

6. The Officers of the Society and other members of the Executive Committee shall be elected at the Annual General Meeting. Nominations may be made by the Committee or by any two members and shall be sent together with the written consent of the nominee, to the secretary not less than two months before the Annual General Meeting. Such nominations shall be circulated with the notice of the meeting. Members unable to attend shall be entitled to vote by post. If other nominations are not received for the filling of vacancies, the Committee's nominees shall be deemed elected.

7. The Committee shall be elected for terms of three years except the President and Local Organisers (two years), and the Treasurer (five years).

8. Any vacancy occurring in the Committee, other than by annual retirement may be filled by a member to be co-opted by the Committee.

 

MEMBERSHIP

9. The Society shall consist of members who are, or have been engaged in, or directing, medical and veterinary mycology.

10. Candidates for membership of the Society must be proposed by two or more members from personal knowledge. The applications must be approved by the Executive Committee.

11. On election, the member shall be sent a copy of the rules.

12. The Executive Committee shall have the power to terminate a membership if this is in the interest of the Society.

13. Any member whose annual subscription is two years in arrears and who has been notified of the fact shall have his membership cancelled at the discretion of the Executive Committee.

14. Members of at least 10 years standing, who have retired from active practice, shall be eligible to become life members. Members who have made a notable contribution to medical or veterinary mycology and/or to the work of the Society, shall be eligible for nomination to honorary membership. Nominations for life membership and honorary membership may be made by the Committee or by any two members and shall be sent to the Secretary not less than 3 months before the Annual General Meeting. Life members and honorary members shall be elected by a majority vote of members present at an Annual General Meeting. Life members and honorary members shall have all the privileges of ordinary members but shall be exempt from payment of the annual subscription.

 

SUBSCRIPTIONS

15. Members shall pay an annual subscription, the amount being determined at the Annual General Meeting of the Society. Such subscription is to be paid in advance on 1st January each year. Payment shall be administered by the Treasurer, acting on instructions given by the Executive Committee of the Society at its Annual General Meeting, for furtherance of the objects of the Society.

16. The accounts of the Society shall be audited annually and a report made by the Treasurer to the Annual General Meeting.

 

MEETINGS

17. The Annual General Meeting of the Society shall be held at different centres, at a place and time decided by the Committee. The Secretary shall circulate the agenda to all members at least 1 month before the meeting.

18. A scientific meeting, relating to the objects of the Society, shall be arranged at least once a year by the Executive Committee. One such meeting shall be held in association with the Annual General Meeting. Contributions to scientific meetings shall be regarded as private except that from time to time the Executive Committee may decide to publish the proceedings of seminars or the Foundation Lecture.

 

GUESTS

19. One or more official guests may be invited to attend scientific meetings of the Society.

20. Members wishing to invite visitors to scientific meetings must notify the Secretary.

 

ALTERATION OF RULES

21. Alterations of any rules shall be made only at a General Meeting. Notice of any such proposal, duly seconded, must be sent to the Secretary not less than 2 months before the meeting and shall be circulated with the notice of that meeting. For adoption, a two thirds majority of those voting is necessary. Members unable to attend are entitled to vote by post. No amendment shall be made to Rule 2, this Rule or Rule 23 without prior consent, in writing, of the Charity Commissioners. No amendment shall be made which would cause the association to cease to be a charity at law.

 

SOCIETY ACTIVITIES

22. The Society may sponsor, from time to time, the organisation of scientific activities such as training courses, publications and working parties on topical problems. Such activities shall be conducted in accordance with guidelines established and minuted at Annual General Meetings.

 

DISSOLUTION

23. The Society may be dissolved by a resolution passed by a two thirds majority of those present and voting at an Extraordinary General Meeting convened for the purpose of which 21 days' notice shall have been given to the members. Such resolution shall give instructions for the disposal of any assets held by, or in the name of, the Society provided that if any property remains after the satisfaction of all debts and liabilities such property shall not be paid to or distributed among the members of the Society but shall be given or transferred to such other charitable institution or institutions have objects similar to some or all of the objects of the Society.
